TERMS AND CONDITIONS APPLICABLE TO THE SUBMISSION OF GAME CONTENT

A. Legal Background.

1. Eruvian Enterprises, Inc. (called “Eruvian”) is a California corporation. Eruvian operates this website to facilitate the sharing of tabletop role playing game content that is originally and independently created by role playing game enthusiasts who want to share their creations with other players.

2. In its role as an intermediary between the creators of game content and the game players who will use it, Eruvian is deeply committed to the protection of the intellectual property rights of others. In particular Eruvian is committed to the protection of all authors' copyright interests. Accordingly, Eruvian is only willing to accept the posting of entirely original game content that is not a copy of, copied from, based on, or otherwise derived from preexisting copyrighted stories, films, videos, songs, music, or any other material that was not the original creation of the contributing author.

3. Copyright infringement may be based on the direct copying of material or the creation of material that is based on or derived from copyrighted material. The U.S. copyright law characterizes both the direct copying and the creation of an unauthorized derivative work as copyright infringement, and copyright infringement may result in severe legal penalties for those who copy, create, distribute, or use unauthorized copies of infringing materials.

4. Please note that the absence of a copyright notice from materials, or the fact that material is freely available on the Internet, does not indicate that the material is not copyrighted. Accordingly Eruvian's requirement that the materials you post be entirely your original work is absolute.

B. Your Representation That The Material You Post Is Your Original Work And That You Have The Right To Post The Material And Grant A License To Eruvian.

1. By posting your game content on Eruvian's web site, you expressly represent and warrant to Eruvian: (a) that you are the original author and creator of all the materials you post on our site, and (b) that the materials you post are entirely original, are not derived from, and do not contain any characters, story lines, images, music, sounds, or other materials from the creations of others.

2. By posting your game content on Eruvian's web site, you expressly represent and warrant to Eruvian that: (a) you own all of the copyright interests in the materials you post, (b) the materials were not created while you were working as an employee or otherwise under circumstances where your employer has a claim on the copyrights in the work you created, (c) you have not assigned your copyright interests to anyone, and (d) that you have not granted anyone an exclusive or other license under your copyrights in the posted material that would prevent you from granting the following licenses to use the posted material to Eruvian.

3. By posting your game content on Eruvian's web site, you expressly represent and warrant to Eruvian that you have not applied for or obtained a design patent on any aspect of the posted material, do not claim trademark rights in the title of the posted material, and that Eruvian may use the title in distributing the posted materials to others under its copyright license from you.

C. Grant Of Copyright License To Eruvian.

1. By posting your game content on Eruvian's web site, you expressly grant Eruvian a nonexclusive, perpetual, royalty free license: (a) to reproduce the posted material in copies or phonorecords, (b) to prepare derivative works based upon the posted material, (c) to distribute copies or phonorecords of the posted materials to the public by sale or other transfer of ownership, or by rental, lease, or lending, (d) in the case of literary, musical, dramatic, and choreographic works, pantomimes, and motion pictures and other audiovisual works, to perform the copyrighted work publicly, (e) in the case of literary, musical, dramatic, and choreographic works, pantomimes, and pictorial, graphic, or sculptural works, including the individual images of a motion picture or other audiovisual work, to display the copyrighted work publicly, (f) in the case of sound recordings, to perform the copyrighted work publicly by means of a digital audio transmission, (g) to authorize others to exercise any of the forgoing rights, and (h) to sublicense or assign any or all of the forgoing license rights to others.

2. By posting your game content on Eruvian's web site, you expressly grant Eruvian the right to use your name in connection with the distribution of copies of the materials you post to the website and to identify you as the author of the posted materials or their derivatives. Eruvian believes strongly in protecting the rights of authors of all creative work and will use every reasonable means at its disposal to attribute authorship to the creators of content uploaded to the website. However, in the event that Eruvian fails to properly attribute authorship for any reason including, but not limited to, website failure or editorial oversight, you expressly agree that you will hold Eruvian free from fault and any and all related liabilities.

D. You Indemnify Eruvian And Its Licensees Against Infringement.

By posting your materials on the website, you expressly agree that you will defend, indemnify, and hold Eruvian, its successors, assigns, licensees, and anyone else acquiring copies of the posted materials or their derivatives harmless from, against, and in respect of any claims, damages, expenses, or costs of any kind (including, but not limited to Eruvian and the other indemnified parties actual attorney fees) that result from any alleged violation of the representations or warranties you made in Paragraph B above. You shall have no liability under this indemnity to the extent that a claim is established to have resulted solely from the modification or extension of the materials you posted by Eruvian or others without your knowledge or participation where the breach of warranty is not present in the original materials you posted to the website.

E. You Acknowledge that You Have Read and Agree to Follow the Eruvian Maturity Rating Guide.

By posting your materials on the website, you expressly acknowledge that you have read the Eruvian Maturity Rating Guide in its entirety and agree to follow its terms. This includes, but is not limited to, agreeing not to post depictions of explicit sexual acts or content that suggests prejudices against real-world ethnicities, races, cultures, minorities, religions, or peoples. You also agree to rate your content according to the Eruvian Maturity Rating Guide to the best of your ability.
